These Merchant Terms of Agreement ("Merchant Terms") govern your access to and use of the Merchant Portal within the Family Coins App ("App"), provided by [Retainly] ("Retainly", "we", "us", or "our"). By registering for a Merchant account, accessing, or using the Merchant Portal, you agree to be bound by these Merchant Terms. If you do not agree, you must not use the Merchant Portal.
The App facilitates a loyalty and rewards system using "Family Coins" allowing you to award coins to customers and withdraw coins from them under specified conditions.
- Family Coins: Digital tokens issued through the App, where 1 Family Coin = 1 Value of your currency. These are not cryptocurrency but a loyalty points system redeemable as described herein.
- Merchant Portal: The merchant-facing side of the App for managing coin awards and withdrawals.
- Customer: An individual using the Family Portal to receive, hold, and redeem Family Coins.

- You must be a registered business entity or an authorized representative to create a Merchant account.
- You agree to provide accurate, complete, and up-to-date information during registration, including business details, tax ID, and banking information for settlements.
- You are responsible for maintaining the security of your account credentials. Retainly is not liable for unauthorized access due to your negligence.
- Accounts may be suspended or terminated if information is found to be inaccurate or if you violate these terms.
- You may use the Merchant Portal to:
- All transactions must comply with laws, including anti-money laundering (AML) regulations and consumer protection standards.
- You must obtain Customer consent for any coin awards or withdrawals and maintain records of such transactions for at least 5 years.
- Retainly acts solely as a facilitator; we do not guarantee the validity of any transaction or the solvency of Customers.
- Issuance and Value: Family Coins are issued digitally through the App and hold a fixed value. You are responsible for funding awards (e.g., via pre-paid balances or settlements with the Retainly).

- Settlements: Retainly may handle coin-to-cash conversions via integrated payment gateways. You agree to pay any applicable fees (as notified) and indemnify the Retainly for disputes arising from your transactions.
- Prohibited Actions: You must not use the Portal for illegal activities, such as money laundering, unauthorized gambling, or misleading promotions.
- Retainly may charge fees for using the Merchant Portal, including transaction fees, subscription fees, or conversion fees. Current fees are available in the App dashboard.
- You authorize the Retainly to deduct fees from your settlements or linked payment methods.
- All payments are non-refundable unless specified.
- You represent that you are authorized to conduct business, comply with all laws, and that your use of the Portal will not infringe third-party rights.
- Retainly provides the App "as is" without warranties of uninterrupted service, accuracy, or fitness for a particular purpose.
- Retainly is not liable for any losses arising from your transactions, Customer disputes, or system downtime.
- You indemnify the Retainly against claims related to your misuse of the Portal, fraudulent transactions, or breaches of these terms.
- Liability is limited to the fees paid by you in the preceding 12 months.
- You may terminate your account with 30 days' notice.
- Retainly may terminate or suspend your account for violations, non-payment, or legal requirements.
- Upon termination, outstanding settlements will be processed, and access to the Portal will cease.
- Disputes shall be resolved through negotiation under the Arbitration Act, 1940.
- You waive class action rights.
These Merchant Terms are governed by the law.
We may update these terms with notice via the App. Continued use constitutes acceptance.

These Customer Terms of Agreement ("Customer Terms") govern your access to and use of the Family Portal within the Family Coins App ("App"), provided by [Retainly] ("Retainly", "we", "us", or "our"). By registering for a Customer account, accessing, or using the Family Portal, you agree to be bound by these Customer Terms. If you do not agree, you must not use the Family Portal.
The App allows you to receive, hold, and redeem "Family Coins" from participating Merchants as part of a loyalty program.
- Family Coins: Digital tokens received through the App, where 1 Family Coin = 1 Value of your currency. These are redeemable as described but are not cash equivalents outside the App.
- Family Portal: The customer-facing side of the App for managing your coin wallet.
- Merchant: A business using the Merchant Portal to award or withdraw coins.
- Award Transactions: As defined in the Merchant Terms (e.g., Sale Awards, Cash Awards, Other Awards).
- Withdrawal Transactions: As defined in the Merchant Terms (e.g., Purchase Withdrawals, Cash Withdrawals, Other Withdrawals).
- You must be at least 18 years old to create a Customer account.
- You agree to provide accurate personal information, including ID verification if required for cash transactions.
- You are responsible for account security. Notify us immediately of unauthorized access.
- Accounts may be suspended for inaccurate information or violations.
- You may use the Family Portal to:
- All interactions must be lawful. You consent to coin awards and withdrawals as initiated by Merchants.
- Retainly facilitates but does not guarantee Merchant solvency or transaction validity.
- Receipt and Value: Coins are credited to your wallet upon Merchant awards. 1 Family Coin = 1 Value of your currency.
- Redemptions:
- Withdrawals by Merchants: You acknowledge that Merchants may withdraw coins for purchases, cash sales, inactivity (after 12 months), or violations (e.g., fraud). You will receive notice where applicable.
- Coins are non-transferable between users unless permitted by the App.
- Lost coins due to account issues may not be recoverable; maintain backups of wallet details.
- No direct fees for basic use, but Merchants or the Retainly may charge for certain transactions (e.g., cash conversions).
- Cash redemptions are processed via approved methods, subject to AML checks.
- You represent that your use complies with laws and does not involve illegal activities.
- The App is provided "as is"; we disclaim warranties for service availability or coin value stability.
- We are not liable for Merchant disputes, coin losses due to your actions, or external factors.
- You indemnify us against claims from your misuse.
- Liability limited to the value of coins in your wallet at the time of claim.
- You may close your account anytime, redeeming coins first.
- We may terminate for violations, with notice and opportunity to redeem coins.
- Resolved through negotiation.
- No class actions.
Governed by laws.
